By accessing and using Drooid ("the Service"), operated by AAS AI, LLC, you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to abide by the above, please do not use this Service.
Drooid is an AI-powered development studio that provides proof-of-concept applications, enterprise software development, and AI engineering services. The Service includes:
All engagements are governed by individual Statements of Work (SOW) or Master Non-Disclosure Agreements (MNDA) executed between the parties. These agreements may contain terms that supplement or modify these general Terms of Service.
You represent that you are at least 18 years old and that you have the authority to enter into these Terms on behalf of yourself or your organization. Organizations must have authorized representatives managing engagements.
Either party may terminate an engagement as specified in the applicable SOW. We reserve the right to suspend or terminate services if these Terms are violated.
Drooid offers engagement-based pricing tailored to project scope and complexity. Custom quotes are provided for each engagement. Pricing is subject to change with 30 days notice for ongoing engagements.
Payments are processed securely. By providing payment information, you authorize us to charge your account per the agreed-upon schedule. You agree to maintain valid and current payment information.
Refund terms are specified in individual SOWs. For standard engagements, refunds are available within 7 days of the engagement start if work has not been substantially delivered. Completed deliverables are non-refundable.
All proprietary tools, frameworks, methodologies, and internal systems used by Drooid remain the intellectual property of AAS AI, LLC. These are protected by copyright, trademark, and other intellectual property laws.
Unless otherwise specified in the SOW, all custom code, applications, and deliverables created for a client engagement are assigned to the client upon full payment. Drooid retains the right to use general knowledge, techniques, and non-proprietary methodologies gained during the engagement.
Deliverables may incorporate open-source components. Drooid will disclose all open-source licenses used and ensure compatibility with your intended use.
Both parties agree to maintain the confidentiality of proprietary information shared during an engagement. This includes but is not limited to:
Confidentiality obligations survive termination of the engagement for a period of 2 years unless otherwise specified in the MNDA.

Drooid shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising from your use of or inability to use the Service, including but not limited to:
Our total liability for any claim arising out of or relating to these Terms shall not exceed the total amount you have paid to Drooid in the 12 months preceding the claim.
You agree to indemnify, defend, and hold harmless AAS AI, LLC (d/b/a Drooid) and its officers, directors, employees, and agents from any claims, damages, losses, and expenses arising from:
Drooid warrants that all deliverables will be created with professional care and in accordance with the agreed-upon specifications. However, the Service is provided "as is" without additional warranties of merchantability, fitness for a particular purpose, or non-infringement beyond what is explicitly stated in individual SOWs.
AI-generated outputs may require review and validation. Drooid does not guarantee that AI-generated content will be error-free or suitable for all purposes without human oversight.
These Terms shall be governed by and construed in accordance with the laws of the State of Wisconsin, without regard to its conflict of law provisions. The exclusive jurisdiction and venue for all disputes arising out of or relating to these Terms shall be the courts located in the State of Wisconsin.
Before pursuing formal legal action, you agree to attempt to resolve any dispute informally by contacting Drooid with a detailed description of the issue.
If informal resolution fails, you agree to resolve the dispute through binding arbitration under the rules of the American Arbitration Association (AAA) in Wisconsin with a single arbitrator mutually selected by both parties.
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the website. Your continued use of the Service constitutes your acceptance of the modified Terms. We will provide notice of material changes via email or prominent notice on the Service.
